Grant of Share Award - PDMR dealing

Alpha FMC (AIM: AFM), a leading global provider of specialist consultancy services to the Asset and Wealth Management industry, announces that on 2 March 2018 the Company granted an award of 31,250 ordinary shares (the 'Shares') to John Paton, following his joining the Board. Following the grant of Shares, John Paton will be beneficially interested in 31,250 shares in the Company, representing 0.03% of the issued share capital.

The Shares were granted under the Company's Joint Share Ownership Plan ('JSOP') which forms part B of the Company's Management Incentive Plan ('MIP').  The Shares (i) have a £1 total consideration, (ii) will vest after four years, (iii) have a 10 year term, and (iv) are subject to certain individual performance conditions including total shareholder return.  There will be no voting rights attached to the Shares whilst they are held in the JSOP. 

Following the Share grant the Company will have 2,936,700 outstanding options and JSOP Shares in total, representing approximately 2.87 per cent. of the issued share capital of the Company.

Application has been made for the Shares, which will rank pari passu with the Company's existing issued Ordinary Shares, to be admitted to trading on AIM. It is expected that admission will become effective and that trading in the Shares will commence on or around 12 March 2018 ('Admission').

In accordance with the Financial Conduct Authority's Disclosure and Transparency Rules, following this Admission the Company will have 102,234,583 Ordinary Shares in issue, none of which are held in treasury.  The total number of voting rights in the Company remains 101,859,583.

The above figure of 101,859,583 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
