Offer for Subscription of New Ordinary Shares (the "Offer")
Amati VCT 2 plc announces an allotment on 26 February 2018 of 559,217 New Ordinary Shares pursuant to the Offer. In accordance with the Terms and Conditions of the Offer, the Offer Price at which new ordinary shares were allotted, which was calculated by reference to the net asset value of an ordinary share on 22 February 2018 and with the underlying securities valued at the mid-price of the closing bid and ask prices of the London Market Maker price feed ("Adjusted Net Asset Value"), was 168.66p per ordinary share (Adjusted Net Asset Value divided by 0.99 to allow for issue costs of 1.0%).
Following the allotment above, the total number of Ordinary Shares in issue is 36,149,512 with each Ordinary Share carrying one voting right. That figure may be used by shareholders as the denominator for the calculation to determine if they are required to notify their interest in, or a change to their interest in, the Company under the Disclosure and Transparency Rules.
Applications have been made for the New Ordinary Shares to be admitted to the Official List (with a Premium Listing) and to the London Stock Exchange for admission to trading on the Main Market. It is expected that admission will occur and dealing will commence in the New Ordinary Shares to be issued pursuant to the offer at 8.00 a.m. on or around 2 March 2018. CREST accounts are expected to be credited within five business days of allotment and definitive documents of title are expected to be dispatched within ten business days of allotment.
Terms defined in the joint prospectus published by the Company on 27 October 2017 have the same meanings in this announcement unless the context requires otherwise.
