Record Date for the Return of Capital to Shareholders
Aminex announces that the High Court of Ireland has today confirmed a share
capital reduction under section 72 of the Companies Act, 1963 of Ireland.
Receipt of such confirmation is the final condition to the return of in
aggregate US$7.5 million to Shareholders as announced on 11 February, 2002 and
approved by Shareholders on 12 March, 2002.
Accordingly, as previously stated in the circular to shareholders dated 13
February, 2002 issued in respect of this proposal, all Shareholders in Aminex
(other than those Shareholders owning shares pursuant to the completion of the
acquisition of Tanzoil NL) on the register at the close of business today, 29
April, 2002 (being the record date) will be entitled to participate in the
return of capital.
Based on the number of eligible Ordinary Shares currently in issue, the amount
of the repayment of capital per Ordinary Share is approximately 9.7 US cents.
Pending receipt of the Court Order and registration thereof with the Companies
Registration Office, it is expected that cheques for the returned capital will
be despatched to Shareholders no later than 7 May, 2002.
Those Shareholders with Irish registered addresses will each receive payment in
euro by way of a euro cheque rounded down to the nearest whole cent, those
Shareholders with United Kingdom or Channel Island addresses will each receive
payment in pounds sterling by way of a sterling cheque rounded down to the
nearest whole penny (in each case at the relevant exchange rate for US dollars
prevailing today), and all other Shareholders will each receive payment in US
dollars by way of a US dollar cheque rounded down to the nearest whole cent.
