Notification of Directors' Interest
Andrews Sykes Group plc has been notified by the Trustee that the 1998
Employee Share Ownership Plan ('the Plan') purchased 5,000 ordinary 20p
shares at 108p on 13 January 2000. Today, a further 5,000 ordinary 20p
shares were purchased by the Plan at 107p per share. Following these
purchases, the holding of the Employee Share Ownership Plan is 460,000
ordinary 20p shares representing 0.499% of the Company's issued share
capital.
The following directors are potential beneficiaries under the Scheme and
therefore are deemed to have acquired a non-beneficial interest in these
shares.

A Chudnoff
JR Hall
The shares are registered in the name of Worthy Trust Company Limited
Account 1529.
