Jean Gaston Murray, Chairman of the Company, on 15 May 2000 transferred,
for  nil  consideration, 10,000 shares to persons unconnected  with  the
Company.

On  19  May 2000 Mr Murray transferred a further 60,000 shares  for  nil
consideration to persons connected with Mr Jean-Jacques Murray, a member
of the Andrews Sykes board.

Following  these transfers Mr Jean Gaston Murray's resultant holding  is
48,365,600  shares  representing 52.45 per  cent.  and  Mr  Jean-Jacques
Murray's resultant holdings increases to 2,061,277 representing 2.23 per
cent. of the Company's issued ordinary share capital.
