ASA International Group plc - PDMR Notification

ASA International Group plc (LSE: ASAI), one of the world's largest international microfinance institutions, today announces the restructuring of Dirk Brouwer's economic ownership in ASA International, undertaken as part of an estate planning exercise.

As part of broader estate planning activities, Dirk Brouwer has undertaken a restructuring of his economic ownership of ASA International for the benefit of his four children.

Prior to the completion of this exercise on 30 December 2024, Dirk Brouwer's economic ownership of ASA International amounted to 19.3% of total shares outstanding. This economic ownership was held through a vehicle used by Dirk Brouwer to invest in microfinance activities. 

As of 30 December 2024, the indirect economic ownership in ASA International has now been split equally among his four children.

In light of the above restructuring of his economic ownership, and as at the date of this notification, Dirk Brouwer continues to control 46.0% of the total shares outstanding and voting rights of ASA International via CMIMC, which controls Catalyst Microfinance Investors (29.2% shareholding in ASA International) and Catalyst Continuity (16.8% shareholding in ASA International).
