Appointment of Non-Executive Director

YOLO is pleased to announce the appointment of Sean Nicolson to the board as an independent non-executive director with immediate effect.

Simon Robinson, YOLO Chairman, said:

"The board is encouraged by the number and quality of the investment opportunities that we have considered this year. We believe that the technology, media and leisure sectors continue to offer good growth opportunities and we are actively monitoring current investments with a view to realising profits to create additional shareholder value.

"Given the activity levels and the board's ambitions for the future development of the Company, we have decided that it is appropriate to appoint an additional director. We welcome Sean to the board and believe that his network and complementary past experience will be of great assistance as we seek to accelerate YOLO's development."

Sean Nicolson, aged 52, is a corporate financier with over 25 years' experience of corporate and investment finance. He has acted on and assisted a wide range of companies to raise finance from venture capital and private equity investors and has also advised investment funds and investment managers. In addition he has been involved with a number flotations and fundraisings on the Main Market and AIM. He has worked across a variety of sectors including technology, media, telecoms and life sciences.

Sean is currently chairman and director of Sure Ventures plc, an investment trust listed in the Specialist Fund Segment of the Main Market. He is also a partner in Saker Capital (Europe) LLP, a family office investment fund.

Sean was previously a director and chairman of EVR Holdings plc, the AIM listed owner of MelodyVR. In that role he led EVR Holdings through the acquisition of MelodyVR and its subsequent fundraisings. Sean was also an executive director of AIM listed drug discovery company e-Therapeutics plc, having advised that company on all of its venture capital fundraisings, its flotation on AIM and subsequent placings. Prior to his commercial roles, Sean was a corporate finance partner of a leading UK law firm in which role he advised companies and founders at all growth stages on venture capital and private equity investments, flotations and mergers and acquisitions. He also advised merchant banks and brokers on flotations and secondary share issues and worked with a number of universities to develop and deliver technology transfer strategies.

In his previous role as a partner in a law firm, Sean was a director upon incorporation of a number of shelf companies created for the use of the firm's clients. Such directorships include BDK Investments Limited ("BDK") from its incorporation on 8 March 2011 until his resignation on 17 March 2011 and Badekabiner Limited ("Badekabiner") from its incorporation on 11 March 2011 until his resignation on 7 April 2011. BDK and Badekabiner were shelf companies created for the benefit of clients of the firm for which Sean worked at that time. BDK and its subsidiary, Badekabiner, were subsequently placed into administration on 30 January 2012.  BDK and Badekabiner were dormant companies throughout the periods in which Mr. Nicolson was a director. He was not involved in BDK's or Badekabiner's trading or subsequent activities or their administration proceedings.

Sean Torquil Nicolson currently has an interest in 155,769 ordinary shares in YOLO, representing 0.35 per cent of the Company's issued share capital. 

There are no other matters required to be disclosed in respect of this appointment under paragraph (g) of Schedule Two of the Aim Rules or AIM Rule17.
