ASOS announces that all resolutions were duly passed by means of a poll at the Company's Annual General Meeting ("AGM") held today. The results of the poll vote for each resolution are set out below.

**Passed as a special resolution

 

Resolutions 18 and 19 related to the disapplication of pre-emption rights in respect of the allotment of equity securities for cash. Although the Board considered the flexibility afforded by these authorities to be in the best interests of the Company with limits in line with the Pre-Emption Group's 2022 Statement of Principles, it took the decision to withdraw Resolutions 18 and 19 from the agenda for the AGM, following feedback from some of the Company's shareholders since the publication of the notice of AGM. The Company will engage with shareholders on this topic.

As at the date of the AGM, the Company's issued and fully paid share capital consists of 119,357,912 Ordinary Shares with a nominal value of 3.5 pence each ("Ordinary Shares"), with one voting right per share. The Company does not hold any Ordinary Shares in Treasury.  The total number of voting rights in the Company is therefore 119,357,912.

 

In accordance with Listing Rule 9.6.2 copies of the resolutions (other than those relating to ordinary business) will be submitted to the FCA National Storage Mechanism and will shortly be available for inspection at https://data.fca.org.uk/#/nsm/nationalstoragemechanism.
