Series A Bondholder Meeting

Aspire Defence Finance plc, the Issuer for the Allenby/Connaught Private Finance Initiative project, has announced on 17May 2023 that the Notice given to the Series A Bondholders on 4th May 2023 in respect of a meeting of the holders of those of the £884,075,000 4.674 per cent. Series A Bonds due 2040 of the Issuer ("Series A Bondholders") (the "Notice"), is to be further clarified in connection with viewing the transaction documents and voting mechanics, the clarification does not change the substance of the Notice, other than to clarify the points expressly stated below:

a)   documents implementing the transaction outlined in the Notice and a copy of the Series A Bond Trust Deed will be available for inspection by the Series A Bondholders on the Clearstream, Luxembourg and Euroclear websites - please contact Clearstream, Luxembourg and / or Euroclear for access. Copies can also be sent via email on request from Suzanne Bailey at Suzanne.Bailey@cms-cmno.com or Jonathan Dames at Jonathan.Dames@cms-cmno.com from CMS Cameron McKenna Nabarro Olswang LLP (who are acting for AGUK);

b)   the Series A Bondholders can vote for or against the Extraordinary Resolution outlined in the Notice directly with Clearstream, Luxembourg and / or Euroclear if they do not wish to attend the meeting in person. If a Series A Bondholder has any queries as to how to vote, they should raise them with their custodian who would then raise as necessary with Euroclear or, as the case may be, Clearstream, Luxembourg;

c)   the Series A Bondholders wishing to attend the Meeting in person must produce at the Meeting a valid Voting Certificate issued by the Paying Agent relating to the Bond(s) in respect of which they wish to vote (and a Voting Certificate will be emailed to the relevant Series A Bondholder once the requisite checks have been done, which can either be directly with the Paying Agent or via Clearstream, Luxembourg and / or Euroclear). To facilitate delivery of a Voting Certificate in accordance with the timelines outlined in the Notice, please ensure that an email address is provided to Clearstream, Luxembourg and / or Euroclear;

d)   Bondholders and proxys attending the Meeting must bring their Voting Certificate and their passport to the Meeting and have their details cross-checked and confirmed against the passport details provided to Clearstream, Luxembourg, Euroclear and / or the Paying Agent (as appropriate) in order to be admitted to the Meeting;

e)   Series A Bondholders whose Series A Bonds are held by Euroclear or Clearstream, Luxembourg should contact their relationship manager either directly or via their custodian for further information; and
