Series A Bonds

Aspire Defence Finance plc, the Issuer for the Allenby/Connaught Private Finance Initiative project, has announced on 19 June 2023 that at an Adjourned Meeting of the Series A Bondholders held on Friday 14 June 2023 (and convened by the Series A Bond Trustee by the Notice dated 30 May 2023) at the offices of CMS Cameron McKenna Nabarro Olswang LLP at Cannon Place, 78 Cannon St, London EC4N 6AF:

(1)        a quorum was present, in accordance with the provisions of the Trust Deed; and

(2)        out of a total of 472,733 votes cast, 472,233 votes (representing 99.89 per cent) were cast in favour of the Resolution and that, accordingly, the Resolution has been duly passed as an Extraordinary Resolution of the Series A Bondholders.

Furthermore, the Deed of Consent, Amendment and Restatement has been duly executed and has been dated 16 June 2023.
