Directors' interests in shares



The following Directors and/or their spouses have acquired ordinary shares of
25p each ('shares') through taking up entitlements in Amlin's Placing and Open
Offer at 81p per share, which became effective on 5 July 2002, and through other
recent acquisitions of shares, as set out below:

All of the shares acquired listed above were acquired through the Open Offer
other than:



(1)     J R Sanders made a market purchase on 8 July 2002 of 598 shares at 84.5p
per share. This purchase was through his Personal Equity Plan ('PEP') and his
total resultant holding listed above is now held by him in his PEP; and

(2)     J L Stace's non-beneficial acquisition listed above comprises a transfer
to his spouse by a third party of an interest in 3,085 shares by way of a gift,
in respect of which an Open Offer entitlement to 598 shares was then taken up.



In addition, the Amlin Group's Employee Share Ownership Trust ('ESOT') acquired
167,525 shares (0.05%) through taking up part of its entitlement in the Placing
and Open Offer. For Companies Act purposes, the executive Directors of Amlin, as
Group employees, are deemed to have a potential beneficial interest in such
shares. The executive Directors are B D Carpenter, R A Hextall, A W Holt, C E L
Philipps and J L Stace. The total number of Amlin shares that the ESOT now holds
is 6,330,925 (1.70% of the shares in issue).



All of the percentages in this announcement are by reference to the number of
shares in issue following the Placing and Open Offer, which is 372,170,721.



All of the above notifications pursuant to the Companies Act were made to the
Company on 5 July 2002, with the exception of the disclosure of the market
purchase by J R Sanders which was made today.
