                       REPLACEMENT OF SHARE CERTIFICATES
                                       
Amlin plc intends to replace the share certificates in respect of all
certificated shareholdings with effect from Monday 27 September 1999.  This
will ensure that all valid certificates are in the Company's present name,
Amlin plc, rather than in its former name of Angerstein Underwriting Trust
PLC.  The new certificates will be clearly distinguishable from the old, not
only by the date of issue but by their being issued under signature rather
than using a securities seal.

The planned timetable is:

Friday 24 September 1999   Last date on which old-style share certificates
                           will be valid and accepted by the Registrar.

                           Replacement share certificates despatched in
                           respect of all certificated shareholdings.

Monday 27 September 1999   Old certificates cease to be valid and new
                           certificates accepted by Registrar.

The Registrar will certify transfers against the register to the extent
necessary around the date of the change.

Existing certificates for the Company's Warrants, whether in the name of Amlin
or Angerstein Underwriting Trust PLC, are not being replaced and will remain
valid.
