MANPOWER SOFTWARE PLC ('the Company')

Further to the announcement made on 14 May 2001, the Company announces that
application has been made for the admission to trading of an additional
336,472 warrants to subscribe for ordinary shares in the Company (the '
Warrants'). The Warrants are being issued pursuant to the successful rights
issue completed by the Company in April 2001. The Warrants will be issued to
those warrantholders on the register on 23 April 2001. It is expected that
trading will commence in the Warrants on 31 May 2001.
An explanatory letter together with new warrant certificates in respect of
those warrantholders who hold their holdings in certificated form, are
expected to be posted to warrantholders on 25 May 2001.
