Manpower Software plc ("Manpower Software" or the "Company")



                        Board Changes and AGM Statement



Manpower Software announces the appointment today of Paul Scandrett as Managing
Director of the Company.  Mr Scandrett was formerly Head of UK Operations,
having joined the board in October 2000 and has been with the Company since
1995.  He replaces Robert Drummond, who becomes the Company's Chairman.  Ian
Lang, the incumbent non-executive Chairman becomes a non-executive director of
Manpower Software.



In addition, at the Company's AGM held this morning, Jack Debnam decided not to
offer himself up for re-election as a non-executive director and consequently
steps down from the board of Manpower Software ("Board") with immediate effect.
Mr Debnam felt that given the current size and status of the Company the size of
the Board was excessive.  The Board would like to express its gratitude to Jack
Debnam for his valuable contribution to the Company over the last 3 years.



At this morning's AGM all resolutions put to shareholders of the Company were
duly passed.
