                      RIGHTS ISSUE ADJUSTMENT - OPTIONS



Following the Rights Issue announced by Manpower SoftWare on 1 March 2001 the
adjustment to the options under the Manpower SoftWare share plans (as defined
by the Rights Issue Prospectus) was approved on 26 March 2001. Adjustments of
16.14% and 13.90% have been made to the number of options and option price
respectively, where appropriate. This notification reflects the total options
held by the Board of Directors including any adjustment in respect of the
rights issue.
