Directors Declaration

In accordance with Listing Rule 9.6.14, Atlantis Japan Growth Fund Limited ('the
Company') announces that Mr Andrew Martin-Smith, a non-executive director, has
informed the Company that he has resigned as a Director and Principal of
Evolution Securities US Inc. a listed company, effective from 17th July 2007,
but will be available to them for 2 months as necessary while they identify a
qualified principal as a replacement.
