Further re Placing and Subscription
Audioboom Group plc (AIM:BOOM), the leading spoken word audio on-demand platform, is pleased to provide an update following its announcement of 8 June 2018 relating to the conditional placing and subscription to raise a total of approximately £4.5 million before expenses (the "Placing and Subscription"). Pursuant to the Placing and Subscription, the issue of a final tranche of 13,333,333 new ordinary shares (the "Deferred Placing Shares") was conditional, inter alia, on the receipt of certain confirmations from HM Revenue & Customs, which have now been received by the Company.
The Deferred Placing Shares will be issued at a price of 3 pence per share, being the same issue price as the other new ordinary shares issued in the Placing and Subscription.
Admission and Total Voting Rights
Application has been made for admission of the Deferred Placing Shares to trading on AIM ("Admission") and it is anticipated that Admission will occur at 8.00 a.m. on 27 July 2018. Following Admission, the total issued share capital of the Company will be 1,173,290,949 ordinary shares of no par value. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
