                   FRANK USHER HOLDINGS PLC ('the Company')


The Company announces that on 1 December 2000 the disposal of Frank Usher
Limited, Frank Usher (Canada) Limited and GMB Contracts Limited to Goldstart
Limited, which was approved by shareholders on 9 November 2000, was completed.
As anticipated in the circular to shareholders dated 15 October 2000, the name
of the Company has been changed to Avingtrans PLC and, on 5 December 2000,
Anne Bruh resigned as a Director of the Company. An additional non-executive
Director will be appointed in due course. In the meantime the Board continues
to seek a suitable acquisition for the Company.
