General Accident plc ('GA')

On Friday 22nd December 2000, the holders of the GA ordinary shares resolved
to increase the authorised ordinary share capital of the Company from
£199,889,795.25 to £325,257,420.25 by the creation of 501,470,500 ordinary
shares of 25p each.
