REF: REGULATION 30 OF SEBI (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015

SUB: WITHDRAWAL OF NOMINATION OF T. C. SUSEEL KUMAR, NON-EXECUTIVE (NOMINEE) DIRECTOR OF AXIS BANK LIMITED ("BANK") AND NOMINATION OF MINI IPE FOR APPOINTMENT AS NON-EXECUTIVE (NOMINEE) DIRECTOR.

We wish to inform you that Life Insurance Corporation of India ("LIC"), promoter of the Bank has withdrawn the nomination of T C Suseel Kumar (DIN: 06453310) as their nominee on the Board of Directors of the Bank ("Board") with effect from July 29, 2023. Accordingly, he shall cease to be director on the Board with effect from the said date. The Bank acknowledges the invaluable contributions rendered by T. C. Suseel Kumar during his tenure as a nominee director and places on record its deep appreciation for his guidance as a member of the Board.

We would also like to inform you that LIC has nominated Mini Ipe as their nominee on the Board of the Bank. Accordingly, in terms of the applicable laws and based on the recommendations of the Nomination and Remuneration Committee, the Board at its meeting held today, i.e. July 27, 2023, has appointed Mini Ipe (DIN: 07791184) as an additional Non-Executive (Nominee) Director with effect from July 29, 2023, subject to approval of the shareholders of the Bank. She shall be liable to retire by rotation.

Mini Ipe is not related to any of the Directors or Key Managerial Personnel of the Bank. Further, in line with the Stock Exchange Circular dated June 20, 2018, it is hereby confirmed that she is not debarred from holding the office of director by virtue of any SEBI order or any other such authority. A brief profile of Mini Ipe is enclosed as Annexure A.

Please note that the Board Meeting commenced at 9.30 am and concluded at 5.45 p.m.

You are requested to take note of the above and arrange to bring it to the notice of all concerned.
