RETIREMENT OF DIRECTOR

As part of the planned refreshment of the Board of Directors of Schroder UK Growth Fund plc (the 'Company'), Mr Keith Niven has retired as a Director of the Company with effect from 31 October 2011. The Directors would like to thank Keith for his very considerable contribution to the Board since his appointment in 1994.

The Board is pleased also to announce the appointment of Mr Bob Cowdell as a Director with effect form 1 November 2011.

Mr Cowdell, aged 48, left  RBS Hoare Govett in July 2011, after 15 years, where he was a Managing Director of Global Banking & Markets. Since 2005 he had been Head of Financials with responsibility for Hoare Govett's Financial Sector corporate broking and ECM activities; having previously co-founded and then led the ABN AMRO Global Investment Funds Team. Having qualified as a solicitor and specialised in corporate law with City firm Theodore Goddard, he was subsequently a member of the investment trust teams at brokers Warburg Securities and de Zoete & Bevan.  Mr Cowdell was Chairman of the Association of Investment Companies' Brokers Forum and a member of its Plenary Forum between 2007 and 2011.

It is confirmed that there are no other details to be disclosed concerning Mr Cowdell under Listing Rule
