Balfour Beatty plc - Voting rights and capital

Following the successful completion of the placing announced on 15 May 2008, and the resulting issuance of a total of 43,320,411 new Ordinary Shares of 50p each, Balfour Beatty plc's capital now consists of 476,540,090 Ordinary Shares with voting rights.  No shares are held in Treasury.

Therefore, the total number of voting rights in Balfour Beatty plc is 476,540,090.

The above figure (476,540,090) may be used by shareholders as the denominator

for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Balfour Beatty plc under the FSA's Disclosure and Transparency Rules.
