Banco Santander, S.A. announces that the National Securities Market Commission (Comisión Nacional del Mercado de Valores) has resolved, in relation to the merger by absorption of Banco Español de Crédito, S.A. ("Banesto") by Banco Santander, S.A. and pursuant to article 41.1.c) of Royal Decree 1310/2005, of 4 November, that the enclosed document is equivalent to the informative prospectus required in accordance with that Royal Decree.

As announced in the material fact announcement dated 29 April (registry number 186,051), the merger is expected to be registered with the Commercial Registry of Cantabria on 3 May 2013, and, therefore, this would be the last trading day of Banesto on the Spanish Stock Exchanges.
