NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Bank of Georgia Holdings PLC (BGH) was notified on 20 November 2013 that Murtaz Kikoria and Sulkhan Gvalia, Persons Discharging Managerial Reponsibility, had sold BGH ordinary shares (BGH Shares) as detailed below.

On 15 November 2013, Mr Kikoria sold 13,000 BGH Shares at a share price of £20.62.  Following the sale of BGH Shares, Mr Kikoria continues to hold 113,000 BGH Shares, representing approximately 0.31% of the share capital of the Company. 

On 20 November 2013, Mr Gvalia sold 8,566 BGH Shares at a share price of £21.71.  Following the sale of BGH Shares, Mr Gvalia continues to hold 130,237 BGH Shares, representing approximately 0.36% of the share capital of the Company. 

This notice is given in fulfillment of the obligation under DTR3.1.4 (1)(a)R.
