NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Bank of Georgia Holdings PLC (BGH) was notified on 25 February 2014 that Mikheil Gomarteli,  a Person Discharging Managerial Reponsibility, had sold BGH ordinary shares (BGH Shares) as detailed below.

On 21 February 2014, Mr Gomarteli sold 15,274 BGH Shares at a share price of £23.85. On 24 February 2014, he sold an additional 9,726 BGH Shares at a sale price of £23.55.  

Following the sale of BGH Shares, Mr Gomarteli continues to hold 127,900 BGH Shares, representing approximately 0.36% of the share capital of the Company. 

This notice is given in fulfillment of the obligation under DTR3.1.4 (1)(a)R.
