NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Bank of Georgia Holdings PLC (BGH) was notified on 23 May 2014 by each Person Discharging Managerial Responsibility (PDMR) listed in the table below, that he has exercised his nil cost options to acquire BGH ordinary shares with a nominal value of £0.01 per share (BGH Shares) on 22 May 2014, pursuant to the JSC Bank of Georgia executive equity compensation plan. For each PDMR, BGH Shares were withheld to meet tax liabilities, as reflected below.

BGH was also notified on 23 May 2014 that Nikolaz Gamkrelidzesold 2,500 BGH Shares on the same day at a price of £25.50 per BGH Share. Following this transaction, Mr Gamkrelidze continues to hold 85,624 BGH Shares, representing a 0.24% ownership interest in BGH.

This notice is given in fulfillment of the obligation under DTR3.1.4 (1)(a)R.
