NOTIFICATION OF TRANSACTIONS OF DIRECTORS/PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY AND CONNECTED PERSONS

Bank of Georgia Holdings PLC (BGH) was notified on 28 May 2014 by Giorgi Chiladze, a Person Discharging Managerial Responsibility (PDMR), that he has exercised 21,000 nil cost options to acquire BGH ordinary shares with a nominal value of £0.01 per share (BGH Shares) on 27 May 2014, pursuant to the JSC Bank of Georgia senior executive equity compensation plan. Mr Chiladze received 16,800 BGH Shares after 4,200 BGH Shares were withheld to meet tax liabilities.

On the same day, BGH was notified that Archil Gachechiladze sold 10,000 BGH Shares on 23 May 2014 at a price of £25.55 per BGH Share. Following this transaction, Mr Gachechiladze continues to hold 112,000 unvested BGH Shares, representing a 0.31% ownership interest in BGH.

This notice is given in fulfillment of the obligation under DTR3.1.4 (1)(a)R.
