SUBJECT:      Transaction in Own Shares

The Board of Baronsmead VCT 2 plc announces that on 16 December 2008 the Company purchased 81,861 ordinary shares of 10p at a price of 77.0 p per share to be held in Treasury.

The Company's issued ordinary share capital consists of 68,848,644 with voting rights of which 5,396,631 are held in Treasury. Therefore the total number of shares with voting rights in Baronsmead VCT 2 plc is 63,452,013.

The above figure 63,452,013 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Baronsmead VCT 2 plc under the FSA's Disclosure and Transparency Rules.
