Beazley Group plc ('the Company' or 'Beazley')
Posting of Circular and EGM
Beazley has posted a circular to shareholders (the 'Circular') in connection
with proposed changes to executive remuneration arrangements of the Company,
being to amend the performance conditions for future grants under the Beazley
Group plc Long Term Incentive Plan (the 'LTIP'), to alter the individual limits
as are currently set out in the in the rules of the LTIP and to establish a new
retention plan (the 'Retention Plan'). An ordinary resolution to approve the
proposed changes to the performance conditions and individual limits of the LTIP
will be proposed at an extraordinary general meeting of the Company to be held
on 14 March 2005.
A copy of the Circular has been submitted to the UK Listing Authority, and will
be available for inspection at the UK Listing Authority Viewing Facility, which
is situated at the Financial Services Authority, 25 The North Colonnade, Canary
