In conformity with the Transparency Directive's transitional provision 6 we
would like to notify the market of the following:


Following the allotment of further shares pursuant to the exercise of options,
Beazley Group plc's capital consists of 361,028,809 ordinary shares of 5p each
with voting rights.


Therefore, the total number of voting rights in Beazley Group plc is 361,028,809


The above figure may be used by shareholders as the denominator for the
calculations by which they will determine is they are required to notify their
interests in, or a change to their interest in, Beazley Group plc under the
FSA's Disclosure and Transparency Rules.
