Bellway PLC 23 November 1999 The company was today informed that under the terms of the Bellway plc Deferred Bonus Plan and the Bellway plc Employee Share Trust (1992) (arrangements used to reward directors and employees) deferred bonus rights were allocated in respect of 84,319 Bellway plc ordinary 12.5p shares to certain directors of Bellway plc as follows: H C Dawe - 26,560 A G Robson - 22,256 J K Watson - 16,957 P J Stoker - 18,546 Total 84,319 The shares are to be held in the Bellway plc Employee Share Trust (1992) until at least 22nd October 2002, whereupon they will be capable of being transferred into each individual directors name for a consideration of £1 by each director for a period up to 22nd October 2006. Following the above transactions, the total number of shares held in the trust is 645,913 representing 0.59% (645,913; 0.59%) of the issued share capital of the company. Of these, the executive directors hold a beneficial interest in 290,850 (0.27%) (206,531;0.19%) shares as follows: Howard Carlton Dawe - 90,898 Alan George Robson - 76,169 John Knowlton Watson - 60,310 Peter John Stoker - 63,473 Total 290,850 In addition, following the death of Mr Ashley Kenrick Bell, a director of the company until the date of his death on 28th September 1999, the rights attaching to deferred bonus entitlements outstanding over 44,927 (0.04%) (44,927; 0.04%) Bellway plc 12.5p ordinary shares passed to the executors of his estate and are held under the terms of his will. As a consequence of this, one of the directors, Mr Peter John Stoker, only in his capacity as one of the Executors of the Estate of Mr Ashley Kenrick Bell, has a beneficial interest in those deferred bonus rights. In addition, each Bellway executive director has a potential further beneficial interest in up to 310,136 (0.28%) (394,455; 0.36%) shares held in the trust. The other interests of the directors remain unchanged.
