Result of Placing
Blancco Technology Group plc (AIM: BLTG), a leading global provider of mobile device diagnostics and secure data erasure solutions, is pleased to announce the completion of a placing of 5,800,000 new ordinary shares of £0.02 each in the Company (the "Placing Shares") at a price of 169 pence per Placing Share (the "Placing Price") to raise a total of £9.80 million before expenses (approximately £9.45 million after expenses) (the "Placing").
The Placing is subject to admission of the Placing Shares to trading on AIM ("Admission"). Application has been made for the Placing Shares to be admitted to trading on AIM and it is expected that Admission will take place on or around 9 May 2017.
The Placing Price is equal to the closing middle market price of an ordinary share in the Company of 169 pence on 3 May 2017, being the latest practicable closing middle market price prior to the announcement of the Company's intention to undertake the Placing.
The Placing Shares will represent, in aggregate, approximately 9.1 per cent. of the Company's issued ordinary share capital as enlarged by the issue of the Placing Shares. Following Admission, the Placing Shares will be issued and allotted credited as fully paid and will rank pari passu with the Company's existing ordinary shares, including the right to receive all dividends and other distributions declared, made or paid on or in respect of such shares after the date of issue save that the Placing Shares will not be entitled to receive the interim dividend of 0.7p per share declared on 14 March 2017 and payable to shareholders on the register on 12 May 2017. The Placing Shares will trade initially on AIM under TIDM BTG2.L, with ISIN GB00BF13LD20. Following the interim dividend record date, the Placing Shares will be merged with the existing ordinary shares and trade on AIM under TIDM BLTG.L with ISIN GB00B06GNN57.
Director Participation
The chairman of the Company, Rob Woodward, has acquired 5,917 Placing Shares at the Placing Price. His resulting holding amounts to 23,911 ordinary shares in the Company, representing 0.04% of the enlarged share capital.
Total Voting Rights
The Placing is conditional, among other things, upon Admission becoming effective. Following Admission, the Company's issued ordinary share capital will consist of 63,989,266 ordinary shares, with the right to one vote each. The Company does not hold any ordinary shares in treasury. Therefore, the total number of ordinary shares and voting rights in the Company will be 63,989,266. With effect from Admission, this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
