Adjusting event in terms of the Warrant Instrument.
The Companies have today written to shareholders to confirm that at the Annual
General Meeting of the Companies held on 02 August 2006, shareholders approved a
resolution to sub divide the share capital of the companies into 1p shares.
This is an adjusting event in terms of the Warrant Instrument dated 16 April
1996 and accordingly we advise you that the number of shares for which you may
subscribe has been multiplied by ten so that each Warrant entitles you to
subscribe for ten Ordinary Shares of 1p in the Company. The Subscription Price
per Ordinary Share will be one tenth of the former Subscription Price per
Ordinary Share and will therefore now be 10p. The first exercise date to be
affected by the change will be on 31 July 2007.
The Companies' auditors Deloitte and Touche LLP have reported that the
adjustment is appropriate in terms of the Warrant Instrument.
