Dealings in ordinary shares by a director of the company

Bodycote International plc announces that on 21 December 2001, director Tim
Bell's wife sold 6,993 shares at a price of 204p each.

Following the sale Mr Bell's interests comprise 2,702 shares registered
beneficially in his own name

In addition Mr Bell has 110,807 options over ordinary shares exercisable at
between 217.5p and 396p until April 2008.
