Directors' Notification of Dealing in Shares

Bodycote  International plc announces that on 2  May  2000  it
granted   the  following  options  to  directors   under   the
shareholder  approved  1994 and 1996  Executive  Share  Option
Schemes at an exercise price of 247.5p per share, namely:-

Mr D.R. Sleight          15,000
Mr D.F. Landless         15,000

The  options  are  exercisable in 3  years  time  if  Bodycote
International's EPS growth exceeds UK RPI plus 2% per annum.
