Bowleven plc ("Bowleven" or the "Company")

EMPLOYEE BENEFIT TRUST

Bowleven plc (the "Company") announces that Osiris Trustees Limited, as trustee of the Bowleven plc Employee Benefit Trust (the "EBT") has purchased 2,000,000 ordinary shares of 10 pence each in the capital of the Company ("Shares") at an average price of 74.6347 pence per Share. This comprises a purchase of 365,232 shares at a price of 73.0572 pence on 2nd December 2011 and a purchase of 1,634,768 shares at a price of 74.9872 pence per share on 6th December 2011.

Immediately following the above transaction, the EBT held Shares, representing approximately 0.75% of the Company's issued share capital.  It is anticipated that all Shares held by the EBT will ultimately be used to satisfy awards and options granted under the Company's various share incentive arrangements.
