Application has been made to the Financial Services Authority and the London
Stock Exchange Plc for a total of 33,786,386 Ordinary shares of US$0.25
('shares') to be admitted to the Official List.It is expected that admission
will be granted on Thursday 10 May 2001 and that dealings will commence Friday
11 May 2001.

These shares are being reserved under a block listing and will be issued
pursuant to the following schemes:

The Executive Share Option Plan                              30,000,000
Exchange of Arco Preference Shares                           3,786,386

When issued, these shares will rank pari passu with the existing Ordinary
shares.
