Continuing Obligations - Burmah Castrol plc
Burmah Castrol plc hereby gives notice pursuant to Section 329 of the
Companies Act 1985 that each of the directors listed below by virtue of
his being one of the potential beneficiaries of the Burmah Castrol plc
Employee Share Trust (the 'Share Trust'), he, together with other
employees in the Burmah Castrol Group following the exercise of Executive
Share Options by employees of the Company has become interested in the
number of 0rdinary 42p shares of Burmah Castrol plc detailed in paragraph (b)
below.
(a) Directors who are potential beneficiaries of the Share Trust are listed
below:-
Mr. T.E.P. Stevenson, Mr. B. Hardy, Mr. M.B. Dearden and Mr. J.R.P. Pike.
(b) Transactions notified in relation to the Share Trust are detailed below:

(c) Following the above transactions, the number of Ordinary Shares of 42p
each in Burmah Castrol plc held by the Trustee of the Share Trust is now
3,580,249.
(d) In respect of the 3,580,249 ordinary shares referred to in paragraph (c)
above, options have been granted to the above-named directors over a total
of 461,134 of such shares and options have been granted to other
participants in the Share Trust over 3,119,115 of such shares.
