Directors' interests
In 1996, under the BPT Long Term Share Incentive Scheme, Mr T N Watts and Mr N
A Denby, directors of the Company, were granted maximum Initial Awards to,
respectively, 6,493 and 4,870 shares. The Remuneration Committee recommended
to the Trustees that, based on actual performance against the relevant pre-
determined criteria, 90 per cent. of the Initial Awards were achieved.
Consequently these Initial Awards have been determined at 5,844 and 4,383
shares respectively. Both Mr Watts and Mr Denby have deferred the opportunity
to take these shares out of trust and will become entitled to Additional
Awards in 2002 of, respectively, 3,246 and 2,435 shares.
