On 16 February 2000 the Company was informed that the Trustees of the BPT
Employee Benefits Trust acquired 163,000 ordinary shares of 5p each in BPT plc
at a price of 208p.
This purchase of shares was made in anticipation of awards to directors' and
senior employees that are likely to be made this year in respect of the BPT
Annual Incentive Plan and the BPT Long Term Share Incentive Scheme, and in
anticipation of an appropriation to all staff in respect of the BPT Profit
Sharing Scheme.
The BPT Employee Benefits Trust now holds 328,192 ordinary shares of 5p each
in BPT plc, representing 0.22 per cent. of the Company's issued ordinary share
capital and BPT Employee Trustees (No 2) Limited holds 104,944 ordinary shares
of 5p each in BPT plc, representing .07 per cent. of the Company's issued
ordinary share capital.
