                 The British Land Company PLC ('the Company')

Application has been made to the Financial Services Authority for a listing of
120,577 Ordinary Shares of 50p each ('shares') to be admitted to the Official
List and to the London Stock Exchange for admission to trading.

It is expected that admission of the new shares will be granted on 16 August
2001 and that admission and trading will commence on 17 August 2001.

These shares are being issued as a result of allotments made under the
Company's Employee Share Scheme.

These shares will rank pari passu with the existing Ordinary shares, apart
from the fact that they will not rank for the final dividend declared on 30
May 2001 and payable on 24 August 2001. They will rank pari passu with the
existing ordinary shares after that date.
