following number of shares of 25p each in the Company, at a price of 652.5 pence
per share;

The shares allotted to Sir Derek Higgs and Lord Burns were pursuant to their
standing instructions to receive shares as part satisfaction of their annual
directors' fees.  The shares allotted to Mr C Gibson-Smith were pursuant to his
standing instruction to receive shares as total satisfaction of his annual
director's fees.
