Application has been made to The UK Listing Authority and to the London Stock
Exchange for 341,175,016 ordinary shares of 32 1/7 pence each to be listed in
connection with the Bunzl Share Consolidation. Block listings totalling
2,481,098 ordinary shares of 32 1/7 pence each form part of this listed figure.

The block listings consist of 357,142 shares under the Bunzl Long Term Incentive
Scheme, 1,076,618 shares under the Bunzl 1994 Executive Share Option Scheme,
272,320 shares under the Bunzl Sharesave Scheme (1991), 503,430 shares under the
Bunzl Sharesave Scheme (2001) and 271,588 shares under the Bunzl International
Sharesave Scheme.

It is expected that dealings in the new shares will commence on Monday, 6 June
2005.
