Withdrawal of audited accounts and postponement of Annual General Meeting
The Board of Cadogan has decided, further to its announcement on 18 June 2009, to withdraw, with a view to their restatement, the Company's consolidated audited accounts for the year ended 31 December 2008 (the '2008 Accounts'). In view of this and of the work involved in the restatement the Board has resolved to exercise its powers under the Company's articles of association to postpone Cadogan's 2009 Annual General Meeting (the 'AGM') convened for 30 June 2009.
The AGM will now be held at 2.00pm on 11 November 2009 at The Metropolitan, Old Park Lane, London W1K 1LB (the 'New Meeting'). It is expected that the 2008 Accounts in restated form will be sent to shareholders on or before 20 October 2009.
All other matters contained in the notice of AGM dated 29 May 2009 (save for the withdrawal of resolutions 5 and 6 as previously announced) shall apply in relation to the New Meeting.
Shareholders who do not wish to be present at the New Meeting and who have not already completed and returned proxy forms for the AGM are requested to complete the existing proxy form, and return it (no postage is required) to Cadogan's Registrars, Capita Registrars, The Registry, 34 Beckenham Road, Beckenham, Kent BR3 4TU, so as to be received as soon as possible, and in any event, not later than 11.00 am on 9 November 2009. Proxies already delivered in relation to the AGM shall, unless revoked, continue to be valid.
In the press release issued on 18 June 2009 the Board indicated that it would, depending on the outcome of a process of shareholder consultation, hold an Extraordinary General Meeting (the 'EGM') to enable shareholders to vote on the strategy to be adopted following the consultation. Such an EGM cannot in practice be held until the 2008 Accounts have been reissued and approved by shareholders and, if practicable, at that EGM the Board will also propose any resolutions necessary to implement the strategy.
In view of the work required prior to reissuing the 2008 Accounts, it is likely that the Company will be unable to publish its interim financial report for the period to 30 June 2009 by the date required by the Listing Rules. It is expected that this report will be published simultaneously with the restated 2008 Accounts.
