                             Cancellation of shares

Pursuant to the Tender Offer which was successfully completed on 9 April, Beeson
Gregory acquired 498,555 ordinary shares of 50p on behalf of the Company.


These shares have been cancelled and the Company's issued ordinary share capital
reduced accordingly.
