Admission of Shares to Trading

On 19 July 2016, Cairn Homes plc ("Cairn Homes", or the "Company") announced that Founder Share Value in relation to the first Test Period would be paid by way of conversion of Founder Shares into 15,021,937 Ordinary Shares of €0.001 each ("New Ordinary Shares").
Application has been made by the Company to the Financial Conduct Authority and the London Stock Exchange for a total of 15,021,937 New Ordinary Shares to be admitted to the Official List maintained by the UK Listing Authority and to the London Stock Exchange for the New Ordinary Shares to be admitted to trading on its Main Market for listed securities, with dealings in the New Ordinary Shares expected to commence at 8.00 a.m. on Tuesday 16 August 2016. The New Ordinary Shares will rank pari passu in all respects with the Company's existing ordinary shares.

Total Voting Rights
In conformity with Regulation 20 of the Transparency (Directive 2004/109/EC) Regulation 2007, Cairn Homes announces that the Company's issued share capital consists of 689,274,623 Ordinary Shares with voting rights following the issue of the New Ordinary Shares. The Company holds no Ordinary Shares in treasury.
Therefore, on admission the total number of voting rights in the Company will be 689,274,623. This figure may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change of their interest in, the Company under the Transparency (Directive 2004/109/EC) Regulations 2007 and the Transparency Rules.
