Directorate Change and Committee Update
10 November, 2021: Cairn Homes plc ("Cairn", "the Company" or "the Group"), the leading Irish homebuilding company, is pleased to announce the appointment of Ms Orla O'Gorman as an independent, non-executive Director. Ms O'Gorman's appointment, effective immediately, reflects the Board's continued focus on composition, diversity and effectiveness. Upon her appointment, Ms O'Gorman will join the Audit & Risk Committee and the Nomination Committee.
Orla O'Gorman
Ms O'Gorman brings rich sectoral expertise in assisting companies to grow and scale, with over 25 years experience as an executive leader and adviser to a range of businesses. Most recently, Orla spent six years at the Irish Stock Exchange ("ISE"), where she was Head of Equity. She was centrally involved in the sale of the ISE to Euronext in 2018 and, following that transaction, was appointed as Head of Listing for UK and Ireland. Prior to joining the ISE, Ms O'Gorman founded OR Associates, and previously held senior management positions at Eurologic Systems, ABN AMRO and PwC.
Ms O'Gorman is a member of the Corporate Governance Committee at Euronext Dublin, the European Commission's SME Technical Expert Group and the Chartered Accountants Ireland Sustainability Expert Working Group. Orla is a qualified accountant, holds a Bachelor of Commerce from University College Dublin and a Master of Accounting from UCD Smurfit School.

Ongoing Board Refreshment
The appointment of Orla O'Gorman follows the recent appointment of Julie Sinnamon to the Board as an independent, non-executive Director. As previously announced, Andrew Bernhardt will also retire at the end of 2021, having served as a non-executive Director since the Group's IPO in 2015. Jayne McGivern also stepped down from the Board in September to pursue a new executive opportunity.
Committee Composition
Following the appointments of Julie Sinnamon and Orla O'Gorman to the Board, the recent retirement of Jayne McGivern and the planned retirement of Andrew Bernhardt at the end of 2021, the Board Committees have been updated. The below table reflects the new composition of each Committee following the changes and are effective immediately. Andrew Bernhardt will retain his membership of the Audit & Risk and Remuneration Committees until the end of the year, when he will step down from the Board.
