Notice of Extraordinary General Meeting & Publication of Circular
Dublin/London, 1 February 2019: Cairn Homes plc (the "Company") (Euronext Dublin/LSE: CRN), the leading Irish homebuilding company, announces that it has today issued a circular to shareholders (the "Circular") containing a notice of an extraordinary general meeting to be held at 11.00 a.m. on 26 February 2019 at the Marker Hotel, Grand Canal Square, Docklands, Dublin 2, D02 CK38, Ireland (the "EGM").
The purpose of the EGM is to approve, subject to confirmation by the High Court, an increase of the distributable reserves of the Company by the transfer of an amount of up to €550 million from the Company's undistributable reserves (namely the share premium account) to the distributable reserves of the Company by means of a cancellation under the Companies Act 2014 of a corresponding amount of the share premium account.
The Circular and the form of proxy will be available for inspection in electronic form at www.morningstar.co.uk/uk/NSM and on the Company's website at www.cairnhomes.com.
