Director/PDMR Shareholding Notification

Caledonia Investments plc ('Caledonia') announces the following transactions involving two of its directors, William Wyatt and the Honourable Charles Cayzer:-

On 17 July 2009, 6,522 Caledonia ordinary 5p shares, representing 0.01% of Caledonia's total issue ordinary share capital (excluding shares held in treasury) were transferred to Mr Wyatt under Caledonia's deferred bonus plan. 

On the same date, Mr Wyatt transferred these shares to a family trust, of which his four minor children, Miss Isabella Wyatt, Master Oliver Wyatt, Miss India Wyatt and Master Johnny Wyatt are beneficiaries and Mr Wyatt is a trustee, at a price of 1547p per share. The Honourable Charles Cayzer is also a trustee of this trust and therefore Caledonia shares held by it are also included in his non-beneficial interests.  

These transactions are dealings requiring disclosure in accordance with DTR 3.1.2R by Mr Wyatt and his children as his connected persons and also by the Honourable Charles Cayzer.  All of the Caledonia shares referred to above were sourced from the Caledonia Investments plc Employee Share Trust, which is included in the Cayzer family concert party.  

Mr Wyatt's total interests in Caledonia's ordinary shares following the above transactions are as follows:

Beneficial - 113,046 shares = 0.19% 

Non-beneficial - 19,093 shares = 0.03%

Options - 121,844 shares = 0.21% 

Deferred bonus plan - 13,867 shares = 0.02% 

The Honourable Charles Cayzer's total interests in Caledonia's ordinary shares following the above transactions are as follows:

Beneficial - 29,262 shares = 0.05%

Non-beneficial - 47,527 shares = 0.08% 

Options -130,983 shares = 0.22% 

Deferred bonus plan - 7,565 shares = 0.01% 

All of the shares transferred to Mr Wyatt's family trust will be registered in the name of Caytrust Finance Company Limited.
