Notification of transactions of persons discharging managerial responsibilities ("PDMR") or persons closely associated with them ("PCA")

Caledonia Investments plc ("Caledonia" or the "Company") has been notified pursuant to the requirements of the Market Abuse Regulation of the following transactions in its ordinary shares of 5p ("Shares") involving two of its directors, Jamie Cayzer-Colvin and William Wyatt and persons closely associated with Mr Wyatt.

On 21 September 2022, Shares, as noted in the table below, were transferred to the above-named directors under Caledonia's 2011 Performance Share Scheme ("Performance Share Scheme") and, in respect of Mr Wyatt, Caledonia's 2011 Deferred Bonus Plan ("Deferred Bonus Plan") at nil cost. All Shares were sourced from The Caledonia Investments plc Employee Share Trust:

Mr Cayzer-Colvin

On the same date, Mr Cayzer-Colvin sold 11,200 Shares to others members of the Cayzer family concert party.  The transactions took place on-market in London.  All Shares were sold at 3480p per Share.

Mr Cayzer-Colvin's total interests in Shares following the above transactions are as follows: 

Beneficial - 250,024 Shares  = 0.46%

Non-beneficial - 203,384 Shares  = 0.37%

Performance share scheme awards - 74,708 Shares = 0.14%

Deferred bonus plan awards - 9,097 Shares = 0.02%

Mr Wyatt

Also on 21 September 2022 Mr Wyatt sold:

· 18,488 Shares to The Dunchurch Lodge Stud Company ("Dunchurch Lodge"), a private company controlled by him and persons connected with him;

· 1,900 Shares to Knossington Holdings Company, a private company also controlled by him and persons connected with him; and

· 2,327 Shares to family trusts of which Mr Wyatt is a trustee.

The above transactions increased Mr Wyatt's beneficial holdings in the Company. 

Mr Wyatt also sold 1,865 Shares to family trusts of which he is a trustee increasing his non-beneficial holdings in the Company.

Each of these transactions were conducted on-market in London. The Shares were sold at 3480p per Share. Dunchurch Lodge, Knossington Holdings Company and the family trusts, which are all members of the Cayzer family concert party, purchased the Shares at 3480.1p per Share.

On the same date:

· 300 Shares were purchased on-market in London at 3480.1p per Share by Dunchurch Lodge which increased Mr Wyatt's beneficial holdings in the Company; and

· a family trust of which Mr Wyatt is a trustee purchased 373 Shares on-market in London at 3442.3p per Share which increased his non-beneficial holdings in the Company. 

Both of these purchases were made from others members of the Cayzer family concert party.

Mr Wyatt's total interests in Shares following the above transactions are as follows: 

Beneficial - 1,203,005 Shares* = 2.20%

Non-beneficial - 93,705 Shares = 0.17%

Performance share scheme awards - 53,883 Shares** = 0.10%

Deferred bonus plan awards - nil Shares

* includes 1,045,524 Shares owned by The Dunchurch Lodge Stud Company and 1,900 Shares owned by Knossington Holdings Company.

** following Mr Wyatt's retirement as an executive director on 27 July 2022, 41,427 Shares granted to him under the Performance Share Scheme and Caledonia's 2020 Performance Share Scheme lapsed.
